Board of Directors

Fundamental legal duties of each individual board member, which include:


Duty of Care — Each board officers has a legal responsibility to participate actively in making decisions on behalf of the organization and to exercise his or her best judgment while doing so.


Duty of Loyalty — Each board officers must put the interests of the organization before their personal and professional interests when acting on behalf of the organization in a decision-making capacity. The organization’s needs come first.


Duty of Obedience — Board officers bear the legal responsibility of ensuring that the organization complies with the applicable federal, state, and local laws and adheres to its mission.


Community Representation – In this situation the board directors is representing the community rather than the organization. And the BOD has interests of the community in mind.

Advisory Council

Board of Advisory is an informal committee where the members are selected by the board or an executive team. 


The goal of an advisory board is to provide valuable assistance, advice, and expertise to our organization.  Since advisory boards don’t have any liability, they can more readily give guidance and advice. 


Advisory boards will help to fill in gaps of knowledge. They help us break into new markets or industries. 


Advisory boards are strictly consultative in nature and they don’t have any official voting rights on the board.
